By accessing or using CardioZenith Hospital Management System ("Service"), operated by Elentor LLC, a Delaware limited liability company, United States ("Company", "we", "us", "our"), you ("Customer", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a hospital, clinic, or healthcare organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service.
CardioZenith is a cloud-based, multi-tenant hospital management software-as-a-service (SaaS) platform designed for cardiology hospitals and healthcare facilities. The Service includes patient management, electronic health records, appointment scheduling, billing and invoicing, laboratory management, pharmacy inventory, insurance claims processing, staff management, and related features.
The Service is provided "as available" via web browsers and is hosted on secure cloud infrastructure provided by our technical partners. Data is stored in enterprise-grade PostgreSQL databases managed by our database hosting partner.
The Service is available to licensed healthcare organizations and their authorized personnel. By registering, you confirm that:
CardioZenith offers multiple subscription tiers (Starter, Professional, Enterprise, and custom plans). By selecting a plan, you agree to pay the applicable fees as described during the onboarding process.
Your Data: You retain all ownership rights to the data you input into the Service, including patient records, financial data, staff information, and any other content ("Customer Data"). We do not claim ownership of Customer Data.
License to Us: You grant us a limited, non-exclusive license to host, process, store, and transmit Customer Data solely for the purpose of providing the Service to you, and as otherwise permitted by your instructions, these Terms, and our Privacy Policy.
Our Property: The Service, including all software, algorithms, user interfaces, designs, and documentation, is the exclusive property of Elentor LLC and is protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service.
The Service is designed to handle Protected Health Information as defined under the Health Insurance Portability and Accountability Act (HIPAA) of the United States and equivalent regulations in other jurisdictions. By using the Service to process PHI, you acknowledge that:

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We provide email-based support during business hours. Enterprise plan customers may receive priority support and dedicated account management.
The Service depends on third-party technical partners and infrastructure providers. We are not liable for disruptions caused by these providers.
We maintain automated daily backups with 7-day retention. Point-in-time recovery may be available depending on your plan. While we implement reasonable measures to protect your data, you are responsible for maintaining your own backup copies of critical data using the export functionality provided within the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
You agree to indemnify, defend, and hold harmless Elentor LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any breach of your obligations regarding PHI or patient data.
Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or engage in activity that threatens the security of the Service. Upon termination:
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States, or via video conference at the parties' agreement.

Customers are responsible for ensuring their use of the Service complies with the specific healthcare and data protection regulations applicable in their jurisdiction.
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days prior to taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
