Terms of Service

1. Agreement to Terms

By accessing or using CardioZenith Hospital Management System ("Service"), operated by Elentor LLC, a Delaware limited liability company, United States ("Company", "we", "us", "our"), you ("Customer", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a hospital, clinic, or healthcare organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

CardioZenith is a cloud-based, multi-tenant hospital management software-as-a-service (SaaS) platform designed for cardiology hospitals and healthcare facilities. The Service includes patient management, electronic health records, appointment scheduling, billing and invoicing, laboratory management, pharmacy inventory, insurance claims processing, staff management, and related features.

The Service is provided "as available" via web browsers and is hosted on secure cloud infrastructure provided by our technical partners. Data is stored in enterprise-grade PostgreSQL databases managed by our database hosting partner.

3. Eligibility & Registration

The Service is available to licensed healthcare organizations and their authorized personnel. By registering, you confirm that:

• You are a licensed healthcare facility or an authorized representative thereof
• You are at least 18 years of age
• The information provided during registration is accurate and current
• You will maintain the confidentiality of your account credentials
• You accept responsibility for all activities under your account

4. Subscription Plans & Payment

CardioZenith offers multiple subscription tiers (Starter, Professional, Enterprise, and custom plans). By selecting a plan, you agree to pay the applicable fees as described during the onboarding process.

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by applicable law
• We reserve the right to modify pricing with 30 days' written notice
• Failure to pay may result in suspension or termination of access
• Payment is processed through third-party providers (Paystack, Flutterwave, M-Pesa, MTN MoMo, Airtel Money, DPO Group) and subject to their terms

5. Data Ownership & Licensing

Your Data: You retain all ownership rights to the data you input into the Service, including patient records, financial data, staff information, and any other content ("Customer Data"). We do not claim ownership of Customer Data.

License to Us: You grant us a limited, non-exclusive license to host, process, store, and transmit Customer Data solely for the purpose of providing the Service to you, and as otherwise permitted by your instructions, these Terms, and our Privacy Policy.

Our Property: The Service, including all software, algorithms, user interfaces, designs, and documentation, is the exclusive property of Elentor LLC and is protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service.

6. Protected Health Information (PHI)

The Service is designed to handle Protected Health Information as defined under the Health Insurance Portability and Accountability Act (HIPAA) of the United States and equivalent regulations in other jurisdictions. By using the Service to process PHI, you acknowledge that:

• You are responsible for ensuring compliance with applicable healthcare data protection laws in your jurisdiction
• You will execute a Business Associate Agreement (BAA) with us if required under HIPAA
• You will not input PHI into the Service unless you have obtained appropriate patient consent or legal basis
• You will implement appropriate administrative, physical, and technical safeguards within your organization
• You will promptly report any suspected security incident involving PHI to us

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of healthcare regulations
• Attempt to gain unauthorized access to the Service, other accounts, or systems
• Transmit malware, viruses, or other harmful code
• Interfere with the Service's operation or other users' access
• Use the Service to store data unrelated to legitimate healthcare operations
• Share login credentials or allow unauthorized persons to access the Service
• Exceed the usage limits of your subscription plan
• Use automated tools (bots, scrapers) to access the Service without authorization

8. Service Availability & Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We provide email-based support during business hours. Enterprise plan customers may receive priority support and dedicated account management.

The Service depends on third-party technical partners and infrastructure providers. We are not liable for disruptions caused by these providers.

9. Data Backup & Recovery

We maintain automated daily backups with 7-day retention. Point-in-time recovery may be available depending on your plan. While we implement reasonable measures to protect your data, you are responsible for maintaining your own backup copies of critical data using the export functionality provided within the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY
• WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE
• THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT. ALL CLINICAL DECISIONS REMAIN THE RESPONSIBILITY OF LICENSED HEALTHCARE PROFESSIONALS
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

11. Indemnification

You agree to indemnify, defend, and hold harmless Elentor LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any breach of your obligations regarding PHI or patient data.

12. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or engage in activity that threatens the security of the Service. Upon termination:

• You may export your Customer Data within 30 days of termination
• After 30 days, we may delete your data from our systems
• Provisions relating to ownership, liability, and indemnification survive termination

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States, or via video conference at the parties' agreement.

14. International Compliance

CardioZenith operates globally and complies with applicable data protection regulations including:

• HIPAA (United States) — Health Insurance Portability and Accountability Act
• GDPR (European Union) — General Data Protection Regulation
• Kenya Data Protection Act, 2019
• Uganda Data Protection and Privacy Act, 2019
• Nigeria Data Protection Regulation (NDPR), 2019
• Ghana Data Protection Act, 2012
• Tanzania Electronic and Postal Communications Act
• South Africa POPIA — Protection of Personal Information Act

Customers are responsible for ensuring their use of the Service complies with the specific healthcare and data protection regulations applicable in their jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days prior to taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
